End User License Agreement

This End User License Agreement (the “EULA”) governs your use of the LocalWorks software, mobile and web applications, APIs, and related materials (together, the “Software”). The EULA is between you (the “User”) and LocalWorks LLC (“LocalWorks,” “we,” “us”).

By accessing the Software, you agree to this EULA. The EULA sits alongside our Terms of Service and Privacy Policy — together they make up the agreement between you and LocalWorks. If anything in this EULA conflicts with the Terms, the Terms control.

1. License grant

Subject to your compliance with this EULA and the Terms, LocalWorks grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your internal business purposes during an active subscription. The license covers authorized users on your account up to the seat count included in your plan.

2. Restrictions

You may not, and may not allow any third party to:

  • Copy, modify, translate, or create derivative works of the Software, except as expressly permitted.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or underlying algorithms of the Software, except where applicable law prohibits such restriction.
  • Sell, sublicense, lease, rent, distribute, white-label, or otherwise commercially exploit the Software outside your subscription.
  • Remove, obscure, or alter copyright, trademark, or proprietary-rights notices in the Software.
  • Use the Software to build or train a competing product or service.
  • Use the Software in violation of any law or third-party right.
  • Use the Software to send spam, harassment, or content that violates carrier policies or our Acceptable Use rules in the Terms.
  • Use the Software in life-critical, safety-critical, or other high-risk environments where failure could lead to death, personal injury, or serious physical or environmental damage.

3. Authorized users

You may grant access to the Software to your employees, contractors, and agents (“Authorized Users”) up to the seat limit on your subscription. You are responsible for your Authorized Users' compliance with this EULA, the Terms, and the Privacy Policy. You must promptly revoke access for any user who leaves your organization or otherwise should no longer have access.

4. Updates

LocalWorks is delivered as a hosted service and continuously updated. We may add, modify, or remove features at any time. Updates are part of the Software and subject to this EULA. We'll give reasonable notice for material removals or breaking changes that affect your established workflows.

5. Ownership

The Software is licensed, not sold. LocalWorks and its licensors retain all right, title, and interest in and to the Software, including all intellectual-property rights. No rights are granted to you other than the license expressly described above. You retain ownership of the data you upload or generate through the Software, as described in the Terms and Privacy Policy.

6. Open-source components

The Software incorporates open-source components. Those components are licensed under their own terms, which prevail over this EULA to the extent of any conflict for that component. A list is available on request.

7. Termination

This EULA stays in effect while your LocalWorks subscription is active. We may suspend or terminate the license at any time if you breach this EULA or the Terms. On termination, you must stop using the Software and destroy any local copies of Software materials in your possession. Sections that by their nature should survive termination (ownership, restrictions, disclaimers, liability) survive.

8. Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KEYROUTE DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, OR BE ERROR-FREE.

9. Limitation of liability

The limitations of liability in the Terms apply to this EULA. In no event will LocalWorks's aggregate liability under this EULA and the Terms exceed the cap stated in the Terms.

10. Governing law and dispute resolution

This EULA is governed by the laws of the State of Colorado. Disputes arising out of or relating to this EULA are subject to the binding arbitration agreement, class-action waiver, jury-trial waiver, and carve-outs set out in Section 15 of the Terms of Service, which are incorporated here by reference.
